Welcome to Rohac International Trading & Consulting (“Rohac,” “we,” “our,” or “us”). By accessing or using our website located at www.rotacusa.com (the “Site”), you agree to be bound by these Terms of Use. Please read them carefully before using the Site.

1. Binding Contract

This document (the “Terms of Use”) is a legally binding agreement between you (referred to as “you,” “your,” or “User”) and Rohac International Trading & Consulting (“Rohac,” “we,” “us,” or “our”). Your access to and use of our website, services, and any related digital platforms (collectively, the “Services”) are governed by these Terms of Use, our Privacy Policy, our Cookies Policy, and any additional rules, notices, or policies we publish from time to time (collectively, the “Terms”).

By accessing or using the Site located at www.rotacusa.com, or by engaging with any Services provided by Rohac, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree with these Terms, you must immediately discontinue use of the Site and Services.

2. Provision of Services

Rohac International Trading & Consulting (“Rohac”) may, at its discretion, provide different levels of access to certain portions of the Site or Services depending on the type of User, region, or nature of the engagement. Some areas of the Site may be accessible without registration, while access to specific consulting, trade, logistics, or security-related services may require formal onboarding, verification, or a signed service agreement.

Rohac may offer certain informational resources or tools at no charge (“Free Services”), while other specialized services—including consulting, trade facilitation, logistics support, secure transport, or storage services—may require fees (“Premium Services”). Premium Services are subject to timely payment of all applicable charges, taxes, and compliance with Rohac’s invoicing and payment procedures.

Services may differ by country, operational region, industry sector, and legal requirements. Rohac does not guarantee that all Services will be available in all regions or to all Users, and availability may change based on regulatory conditions, operational considerations, or strategic decisions.

Rohac reserves the right to modify, suspend, or discontinue any Services at any time. We may also add or adjust pricing for certain Services on a prospective basis. To the fullest extent permitted by law, these changes may become effective immediately upon notice provided through the Site, email, or other reasonable communication channels.

3. User Content

Certain portions of the Site or Services may allow you to submit, upload, transmit, or provide information, documents, messages, requests, or other materials to Rohac International Trading & Consulting (“Rohac”) or its representatives (collectively, “User Content”). User Content may include, without limitation, business inquiries, trade-related documentation, service requests, forms, messages, or any information you voluntarily share through the Site.

Depending on the nature of the Services you access, your User Content may be viewed by authorized Rohac personnel, contracted partners, or other stakeholders when such access is required to fulfill trade, logistics, transport, storage, or security-related services. Rohac does not publicly display User Content unless required to deliver a specific service and with your consent.

4. User Content

License Granted to Rohac

To the extent permitted by applicable law, and except where limited below, you grant Rohac an irrevocable, worldwide, royalty-free, transferable, and sub-licensable license to:

Receive, store, process, and transmit your User Content
Use User Content for operational, logistical, consulting, or service-delivery purposes
Adapt, translate, structure, or format User Content as needed for internal systems or communication
Create derivative operational materials necessary to fulfill your requests
Use anonymized or aggregated User Content to improve internal processes and services

Rohac will not sell, publicly publish, or distribute your User Content except where explicitly authorized by you or where required to complete the services you requested (e.g., providing documents to customs officials, logistics partners, or security personnel).

Submitting feedback, suggestions, or operational recommendations to Rohac grants us the right to use such feedback without compensation, for the purpose of improving our services, processes, or systems.

Limiting or Removing User Content

You may request that certain User Content not be used beyond the specific purpose for which it was provided. You may also request deletion of User Content from Rohac’s active systems, subject to:

(a) Content already shared with third-party partners necessary for service fulfillment
(b) Content stored in backup systems, which will be deleted within a reasonable retention window
(c) Legal, regulatory, customs, or compliance requirements that may require retention of specific documents

Not a Storage Service

The Site and Services are not intended as long-term data storage or archival services. You are solely responsible for maintaining your own copies or backups of all User Content. Rohac shall not be liable for lost, deleted, corrupted, or inaccessible User Content.

Your Representations and Warranties

By providing User Content, you represent, warrant, and agree that:

Licenses & Permissions
You have obtained all necessary rights, licenses, approvals, and permissions to submit the User Content.
No Infringement
User Content does not infringe upon or violate any copyright, trademark, trade secret, patent, privacy right, or any other intellectual property or proprietary right of any third party (“Third-Party Rights”).
Authority in Trade & Export Operations
You have full legal authority to describe, request, trade, distribute, transport, import, export, or otherwise reference the products or services contained in your User Content, and such actions do not violate any Third-Party Rights or regulatory restrictions.
Compliance With Laws & Sanctions
You and your affiliates are not subject to trade embargoes, sanctions, restricted-party lists, or any other prohibition issued by any government, regulatory body, or international organization.

Additional Requirements for User Content

Your User Content must not:

Be false, misleading, fraudulent, or deceptive
Contain harmful, unlawful, or unauthorized materials
Violate any applicable trade, transport, export, or security laws
Introduce malware, harmful code, or operational disruption
Interfere with the integrity or security of Rohac’s systems, personnel, or operations

Limitation of Liability

The Site and all Services provided by Rohac International Trading & Consulting (“Rohac”) are offered strictly on an “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS” basis. Rohac disclaims any and all warranties, whether express, implied, statutory, or otherwise, including any warranties regarding condition, accuracy, reliability, performance, quality, durability, merchantability, title, non-infringement, or fitness for a particular purpose. You acknowledge that the Site and Services operate across computer networks that may experience interruptions, outages, delays, cyberattacks, or other failures outside of Rohac’s control.

Rohac makes no representation or warranty as to the validity, completeness, accuracy, reliability, or currentness of any information, content, documentation, materials, or communications made available through the Site or Services. Rohac does not guarantee that any trade, transport, logistics, import, export, storage, consulting, or security-related services referenced through the Site comply with all applicable laws, nor does Rohac make any representation regarding the legality or non-infringing nature of any products, materials, or services described or transmitted through the Site or Services. All decisions or actions based on information or materials from the Site or Services are taken solely at your own risk.

To the fullest extent permitted by law, Rohac, its affiliates, owners, directors, officers, employees, contractors, agents, and representatives (collectively, the “Rohac Parties”) shall not be liable to you or any third party for any indirect, incidental, special, consequential, punitive, reliance, exemplary, or similar damages whatsoever, including but not limited to loss of profits, lost data, lost business opportunities, operational delays, service interruptions, computer or device failures, business disruptions, or statutory damages, even if a Rohac Party has been advised of the possibility of such damages. In all events, the total aggregate liability of the Rohac Parties to you for any and all damages, losses, or causes of action of any kind shall not exceed the total amount of fees you paid to Rohac, if any, for the Services during the twelve (12) months preceding the issue giving rise to liability. If you have only used free portions of the Site or Services, your sole and exclusive remedy is to discontinue use of the Site and Services.

Nothing herein prevents you from proving actual direct damages where required by law. Any claim arising from or relating to the Site or Services must be filed within one (1) year from the date the underlying cause of action occurred, and any claim brought after that period shall be permanently barred. These limitations and exclusions represent an essential allocation of risk between you and Rohac and apply to the maximum extent allowed under applicable law, regardless of any failure of essential purpose of any remedy.

The Site or Services may provide access to external websites, third-party content, APIs, links, or third-party products and services. Rohac does not control, monitor, endorse, or guarantee any such external websites or resources, and shall not be responsible or liable for any content, practices, products, or services offered by or through third parties. You are solely responsible for reviewing any third-party terms and privacy policies before interacting with them.

You agree to indemnify, defend, and hold harmless the Rohac Parties from any and all losses, damages, liabilities, penalties, claims, actions, costs, and expenses (including reasonable legal fees) arising out of or relating to your User Content; your breach of these Terms; your violation of any applicable law related to trade, transport, import/export, logistics, security, or consulting activities; your interactions with third parties; or any allegation that your actions or submissions infringe upon any intellectual property or proprietary rights. Rohac reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification, and you agree to cooperate fully with such defense.
